Bloomberg Law Publishes New Treatise On Mergers And Acquisitions Of Privately Held Companies

ARLINGTON, Va., July 16, 2018 /PRNewswire-USNewswire/  Bloomberg Law today announced the publication of Mergers and Acquisitions of Privately Held Companies: Analysis, Forms and Agreements, a new treatise covering the wide range of key legal and business issues associated with acquisitions of privately held companies.   The book was authored by Richard D. Harroch, managing director and global head of M&A at VantagePoint Capital Partners, David A. Lipkin, partner at McDermott, Will and Emery, and Richard V. Smith, partner at Orrick, Herrington & Sutfcliff.  The book is available on Bloomberg Law and can be ordered in print at http://on.bna.com/MD5830kOz5P.

The book includes commentary and analysis as well as examples of all of the important forms and agreements involved in a successful M&A transaction with more than 50 key forms, extensive signing and closing checklists and short- and long-form document request checklists for use in due diligence.

Among the topics covered include:

  • Common mistakes made by sellers
  • Tactics for successful negotiations
  • Pro-buyer and pro-seller form variations
  • Important considerations for in-house counsel
  • Letters of intent

"There's a great proliferation of important technology company acquisitions - many of which are venture capital- or private equity-backed, but are private companies," Harroch said. "We've created a book that covers all the key issues, including letters of intent, merger agreements and negotiation dynamics. The book contains over 50 high quality forms and agreements."
