Kofax Announces Corporate Structure Changes to Effect NASDAQ Listing

The Company is mailing a circular to shareholders setting out the details of the Proposals and related resolutions required to establish New Kofax as the parent company for the Kofax group by means of a scheme of arrangement under Part 26 of the U.K. Companies Act of 2006 (the “Scheme”). The related necessary court meeting and extraordinary general meeting will be held sequentially beginning at approximately 10:15 a.m. on November 5, 2013 at the offices of Dechert LLP, 160 Queen Victoria Street, London EC4V 4QQ. Migrating the holding company's domicile from the U.K. to Bermuda is necessary in order to list common shares rather than American Depository Receipts (“ADRs”) on NASDAQ. New Kofax would maintain a premium listing on the London Stock Exchange and also list its common shares on NASDAQ. The circular setting out the Scheme can be found on the Company's web site at: www.kofax.com/investors/downloads/schemecircular.pdf. A U.K. prospectus in relation to New Kofax is expected to be published before the end of November 2013, following approval and filing with the Financial Conduct Authority, and once available will also be on the Company's website at: www.kofax.com/investors/downloads/ukprospectus.pdf. Produced, created and hosted by Bobby Cronin, INSPIRED is a benefit concert series for animal rescue organizations across the country that will play every other month, with a rotating line-up of some of today's exciting musical theatre writers in a casual and intimate setting as they sit behind the piano and, unlike traditional concerts of their material, perform songs by other writers that have inspired their work. Two Nineteenth-Century Period Rooms Get Makeover at Brooklyn Museum

The Parlor and Library of the Colonel Robert J. Milligan House of Saratoga Springs, New York, have been conserved and refurbished for the first time since the two rooms were installed in the Brooklyn Museum in 1953 as a part of a group of late nineteenth-century American period rooms. In addition to repainting the rooms and laying bold tartan carpeting on the Library's previously bare wood floors, the Museum has restored and installed the Parlor's original chandelier and decorated the rooms with a select group of recently acquired objects and several furnishings original to the rooms but not previously on view in Brooklyn. The two rooms have been on public view throughout their facelift, which was completed on March 28, 2014. (more...)

Guthrie Artistic Director Joe Dowling helms this splash hit musical which, as previously announced, will feature Twin Cities actor/singers Robert O. Berdahl and Christina Baldwin as Captain Corcoran and Little Buttercup, respectively. Olga Peretyatko to Release ARABESQUE, 2/18

On February 18, Sony Classical (USA) will release Arabesque, soprano Olga Peretyatko's second album on the label. Her new CD coincides with a 2013-14 season that not only showcases the young star in important European debuts—including Berlin and Milan—it also offers an opportunity to hear her eagerly anticipated Metropolitan Opera debut when she returns to New York in the spring. Olga Peretyatko's MET debut in I Puritani this coming April follows her acclaimed 2011 BAM appearances in Robert Lepage's production of The Nightingale, which the Financial Times cited as soaring “with effortless charm as the coloratura Nightingale.” Bloomberg News noted that she was “greeted with a thunderous ovation,” and The New York Times called her “sweet-voiced and technically agile.” Ms Peretyatko possesses a dazzling technique, a touching sensibility, a vocal richness, and a strong personality that the new recording highlights brilliantly.
